§1 Who's who

When these terms say "we", "us" or "our", we mean Zinzino AB (publ), Hulda Mellgrens gata 5, SE-421 32 Västra Frölunda, Sweden, and its group companies operating under the Zinzino and Nutrition Budget trademarks. When we say "you", we mean the person using the Nutrition Budget application and related services (together, the "Service").

You must be at least 18 years of age to use the Service. We do not recognize an agreement entered into by a minor, with or without a guardian's consent.

§2 Your agreement

Your agreement with us consists of: (i) your account registration; (ii) any terms specific to a paid plan you select; (iii) documents referred to in these terms, such as current price lists on our website; and (iv) these general terms. If provisions conflict, they apply in that order.

The agreement is personal to you and applies to you only. You may not assign rights or obligations under it without our written consent, and you are responsible for activity on your account.

The agreement is binding on you when you create an account or start using the Service, and on us when we have confirmed your registration (and, for paid plans, received your first payment).

§3 What the Service is — and is not

Nutrition Budget estimates the nutritional content of your purchases and meals from receipts, barcodes and images, and compares those estimates against published reference intakes (such as EFSA Dietary Reference Values and NIH Dietary Reference Intakes).

Estimates depend on the accuracy of retailer receipt data, barcode databases, image recognition and third-party nutrition datasets. Actual nutrient content of foods varies. We do not warrant that any estimate is complete or accurate.

§4 Your license to use the app

We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own private, non-commercial purposes, in accordance with instructions we provide.

You may not resell the Service, scrape or bulk-extract its data, reverse engineer it except as permitted by mandatory law, use it to build a competing dataset or service, or use it in any unlawful manner.

§5 Your content

You retain ownership of the receipts, images and other content you submit ("Your Content"). You grant us a license to process Your Content to operate, secure and improve the Service, as described in our Privacy Policy.

You are responsible for having the right to submit Your Content — for example, do not upload receipts or images containing other people's personal information without their permission.

§6 Payment

The core Service may be offered free of charge. If you select a paid plan, you must pay the fees stated at the time of purchase, together with applicable taxes such as VAT, which will be added where required.

If you believe a charge is incorrect, notify us as soon as possible and we will review it.

§7 Right of withdrawal

As a consumer, you have a statutory right to withdraw from a paid purchase within 14 days without giving a reason, under the Swedish Distance Contracts Act and corresponding EU consumer law. To exercise it, notify us by an unequivocal statement (for example by email).

For digital services, if you request that the service begin during the withdrawal period, you may owe a proportionate amount for the service provided before withdrawal, as permitted by law.

§8 Term, termination and suspension

The agreement runs until terminated. You may terminate at any time in the app or by contacting us; paid plans end at the close of the current billing period unless mandatory law provides otherwise.

We may suspend or terminate the Service immediately if: (i) important information you provided is incorrect; (ii) you commit a material breach of these terms; (iii) fees remain unpaid after a reminder and warning; (iv) you are insolvent; or (v) a governmental authority requires it.

§9 Changes to the agreement and the Service

We may make changes to these terms and to the Service. In the event of material changes, we will tell you what they entail and from what date they apply. If you continue using the Service after that date, the updated terms apply; if you do not accept them, you may terminate before they take effect.

§10 Intellectual property

The Service, including software, design, trademarks (including TALLY and ZINZINO), nutrient models and aggregated statistics, is owned by us or our licensors. Nothing in these terms transfers any such rights to you beyond the license in §4.

§11 Third-party services

The Service relies on third-party providers — for example cloud hosting, barcode and nutrition databases, and AI model providers used to identify unrecognized items. Their involvement in processing your data is described in the Privacy Policy. We are not responsible for third-party websites or services you access through links in the Service.

§12 Limitation of liability

We are not liable for damage resulting from your improper use of the Service, or from your reliance on nutritional estimates contrary to §3.

We are not liable for indirect damages, such as lost profits or the loss of benefits of agreements with third parties. Compensation is paid only where we, or someone we are responsible for, caused the damage through negligence. Nothing in these terms limits liability that cannot be limited under mandatory law, including liability for personal injury caused by negligence.

Claims for damages must be made within two years after the damage was discovered or ought to have been discovered; written claims make handling easier for both of us.

Neither party is liable for failure to perform caused by circumstances beyond its control that it could not reasonably have foreseen — for example lightning strikes, fire, governmental regulation, widespread labour disputes, or general failures of transport, goods or energy (force majeure).

These limitation provisions survive termination of the agreement.

§13 Notices

You may receive messages from us in the app, by email, SMS or letter, using the contact information you have provided. Keep that information up to date and notify us of changes promptly.

§14 Governing law and disputes

Swedish law governs this agreement. Disputes that we cannot resolve together may be decided by a Swedish general court. As a consumer, you also always benefit from the mandatory consumer protection rules of your country of residence, and you may refer disputes to the Swedish National Board for Consumer Disputes (ARN, arn.se) or the EU online dispute resolution platform.

§15 Total satisfaction

We are confident you will be satisfied with the Service. If you are not, contact Customer Service at [email protected]. We aim to respond to all enquiries within 48 hours and to resolve any problem as soon as possible thereafter.
